1. Acceptance of Terms
By accessing or using Hallon.AI's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using or accessing this service.
2. Description of Service
Hallon.AI provides an AI Agent-powered retail merchandising SaaS platform, including but not limited to:
- AI-powered pricing optimization and price recommendations
- Demand forecasting and trend analysis
- Markdown and clearance optimization
- Inventory replenishment recommendations
- Competitive intelligence and market research
- Value perception analysis and KVI identification
- AI agent-based analysis and conversational interfaces
3. Enterprise Subscription Terms
3.1 Subscription Model
Our default enterprise terms are structured as follows:
- Annual Subscription: Billed annually in advance
- Payment Terms: Net 30 from invoice date
- Service Level Agreement: 99.5% uptime guarantee
- Support: Enterprise support with dedicated account management
3.2 Custom Terms
Enterprise customers may negotiate custom terms including payment schedules, SLA requirements, and support levels. Custom terms will be documented in a separate Master Service Agreement (MSA) which takes precedence over these terms.
4. User Responsibilities
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:
- Notify us immediately of any unauthorized use of your account
- Ensure all users accessing the service comply with these terms
- Maintain accurate and up-to-date account information
- Use the service only for lawful business purposes
5. Data Ownership and Intellectual Property
5.1 Your Data
You retain all rights to your data. Data you upload to our platform (including transactions, inventory, pricing, and business data) remains your property. We process your data solely to provide the service and improve recommendations for your organization.
5.2 AI Models
Machine learning models trained specifically on your data belong to you and your organization. These models are isolated and not shared with other customers. Upon termination, you may request export of model weights and configurations where technically feasible.
5.3 Our Intellectual Property
All platform software, underlying algorithms, interfaces, documentation, and general-purpose models remain the property of Hallon.AI and are protected by intellectual property laws.
6. AI-Specific Policies
6.1 Data Isolation
Your data is strictly isolated from other customers. We implement technical and organizational measures to ensure complete separation of customer environments.
6.2 No Cross-Customer Training
We do not use your data to train models for other customers. Models trained on your data are specific to your organization and are not shared, transferred, or used to benefit other parties.
6.3 AI Recommendations
AI-generated recommendations are provided as decision support tools. You maintain full control over whether to implement any recommendation. Hallon.AI does not guarantee specific business outcomes from AI recommendations.
7. Limitation of Liability
To the maximum extent permitted by applicable law:
- Our total liability shall not exceed the fees paid by you in the 12 months preceding the claim
- We shall not be liable for any indirect, incidental, special, consequential, or punitive damages
- We shall not be liable for any loss of profits, data, use, goodwill, or other intangible losses
8. Service Modifications
Hallon.AI reserves the right to modify or discontinue features of the service with reasonable notice. Material changes affecting your use will be communicated at least 30 days in advance. We shall not be liable for any modification or discontinuance of non-essential features.
9. Termination
Either party may terminate the subscription in accordance with the agreed terms. Upon termination:
- You may request export of your data in a standard format
- We will delete your data within 30 days of termination unless legally required to retain
- Access to the service will be revoked at the end of the termination period
10. Governing Law
These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
